End User License Agreement

1. License Grant

Subject to the terms and conditions of this End User License Agreement ("EULA"), RPTech Software Marketplace ("Licensor") grants you ("Licensee") a limited, non-exclusive, non-transferable, revocable license to install and use the software product ("Software") that you have purchased, solely for your internal business purposes.

This EULA applies to all software products offered by RPTech Software Marketplace, including but not limited to: Web Management Systems, ERP Software, CRM Software, School Management Systems, Hospital Management Systems, Printing Management Systems, Visa Consultancy Management Systems, POS Systems, HR & Payroll Systems, Inventory Systems, Accounting Software, and Custom Business Software.

The specific scope of the license is determined by the license type purchased:

• Single User License: Permits installation and use by one (1) named individual on up to two (2) devices (one primary and one secondary), with the restriction that the software is not used simultaneously on both devices.
• Multi-User License: Permits installation and use by a specified number of named users within your organization. The number of concurrent users must not exceed the licensed quantity.
• Corporate License: Permits installation and use by all employees within a single corporate entity on company-owned devices.
• Enterprise License: Permits installation and use by all employees, including subsidiaries and affiliates, as specified in the Enterprise License Agreement.

2. License Activation

Upon purchase, you will receive a unique license key ("License Key") required to activate and use the Software. License activation is required within 30 days of purchase. The license activation process includes:

• Entering the License Key in the Software activation dialog.
• Connecting to our license activation server over the internet.
• Validating the License Key against your purchase record.
• Binding the license to your hardware configuration for validation purposes.

You are responsible for maintaining the confidentiality of your License Key. Unauthorized use or distribution of your License Key may result in license revocation without refund.

3. License Validation

The Software may periodically connect to our servers to validate the license status. This validation process:

• Verifies that the license is active and has not been revoked.
• Checks that the number of installations does not exceed the licensed quantity.
• Identifies unauthorized copies or distributions of the Software.
• Retrieves updated license information and settings.

The Software may include a periodic license validation check (not more frequently than once every 7 days). If the validation check fails, the Software may enter a limited functionality mode until a valid connection can be established.

4. License Duration

The duration of your license depends on the license type purchased:

• Perpetual License: Your license to use the Software continues indefinitely, provided you comply with all terms of this EULA. Perpetual licenses include all minor updates within the purchased version but may require separate purchase for major version upgrades.
• Annual License: Your license to use the Software is valid for one (1) year from the date of purchase or renewal. The license automatically renews unless cancelled 30 days prior to the renewal date.
• Subscription License: Your license to use the Software is valid for the subscription period specified at the time of purchase. The subscription automatically renews unless cancelled. During the subscription period, all updates and new features are included.
• Lifetime License: Your license to use the specific version of the Software is perpetual. This includes all minor updates within that version. Major version upgrades may be available at an additional cost.

5. Scope of License

This license grants you the right to:

• Install and use the Software on the number of devices and by the number of users specified by your license type.
• Make a reasonable number of backup copies of the Software for archival purposes.
• Use the Software for your internal business operations and processes.
• Receive software updates and patches during the license period (subject to license type).
• Access technical support in accordance with our Support Policy.

The license is granted solely for the specific instance of the Software you purchased. Different software products require separate licenses.

6. Restrictions

You may not, and you agree not to enable others to:

• Copy, reproduce, or duplicate the Software except as expressly permitted for backup purposes.
• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software or its copies.
• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or any copies to any third party.
• Use the Software to provide services to third parties, such as time-sharing, service bureau, or outsourcing services, without an appropriate commercial license.
• Circumvent or disable any license protection or authentication mechanisms in the Software.
• Use the Software in any manner that violates applicable laws or regulations.
• Export or re-export the Software in violation of applicable export control laws.
• Use the Software to develop a competing product or service.
• Share your License Key or activation credentials with any unauthorized person or entity.

7. Prohibited Uses

In addition to the restrictions listed above, the following uses of the Software are expressly prohibited:

• Using the Software for any illegal, fraudulent, or unauthorized purpose.
• Using the Software to process, store, or transmit malware, viruses, or other harmful code.
• Using the Software to infringe upon the intellectual property rights of others.
• Using the Software to send unsolicited communications (spam).
• Using the Software to circumvent security measures of any system or network.
• Using the Software to collect, harvest, or aggregate data for purposes other than those specified in the license.
• Using the Software in any environment where failure could lead to death, personal injury, or environmental damage, unless specifically licensed for such use.
• Using the Software with unauthorized modifications or plug-ins not approved by RPTech Software Marketplace.

8. Ownership

The Software is licensed, not sold. RPTech Software Marketplace and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This EULA does not convey any ownership interest in or to the Software, but only a limited right of use revocable in accordance with the terms of this EULA.

Any data, configurations, reports, or other outputs generated by you using the Software remain your property. However, you grant RPTech Software Marketplace a non-exclusive, royalty-free license to use aggregated and anonymized data for product improvement purposes.

9. Copyright

The Software and all copies thereof are proprietary to RPTech Software Marketplace and its licensors and are protected by applicable copyright laws, international treaties, and other intellectual property laws. All rights not expressly granted in this EULA are reserved by RPTech Software Marketplace.

The copyright in the Software covers the source code, object code, documentation, design, user interface, graphics, icons, and all other elements of the Software. Any unauthorized reproduction, distribution, or creation of derivative works is strictly prohibited and may result in civil and criminal penalties.

10. Updates

RPTech Software Marketplace may, at its sole discretion, provide updates, patches, or new versions of the Software during the license period. Updates may include:

• Bug Fixes: Corrections to defects in the Software.
• Security Patches: Updates to address security vulnerabilities.
• Feature Enhancements: New features or improvements to existing features.
• Major Releases: Substantial new versions of the Software with significant new functionality.

The availability and scope of updates depends on your license type. Perpetual license holders receive bug fixes and security patches but may need to purchase major releases separately. Subscription license holders receive all updates during the subscription period.

11. Support

Technical support is provided in accordance with our Support Policy. The scope and level of support depends on your license type and any additional support packages purchased. Support includes:

• Assistance with Software installation and configuration.
• Troubleshooting of Software defects and issues.
• Guidance on Software features and functionality.
• Access to online documentation and knowledge base.

Support does not include assistance with third-party software, hardware issues, or services not related to the Software.

12. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination:

• You must immediately cease all use of the Software.
• You must uninstall and destroy all copies of the Software in your possession.
• You must destroy or return all documentation and materials related to the Software.
• Your License Key will be deactivated and may not be reactivated.

RPTech Software Marketplace may terminate this EULA at any time by providing 30 days' written notice. Termination for cause (breach of this EULA) may be immediate without notice.

13. Limitation of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. RPTech Software Marketplace does not warrant that the Software will be uninterrupted, error-free, or completely secure.

RPTech Software Marketplace does not warrant that the Software will meet all of your requirements or that its operation will be uninterrupted or error-free. RPTech Software Marketplace does not warrant or make any representations regarding the use or the results of the use of the Software in terms of correctness, accuracy, reliability, or otherwise.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RPTech Software Marketplace OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF RPTech Software Marketplace HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL RPTech Software Marketplace'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

15. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which RPTech Software Marketplace is registered, without regard to its conflict of law provisions. Any dispute arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. This EULA constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements and understandings.
